HBCMSP Terms of Service

Welcome to HBCMSP! These Terms of Service (“TOS” or “Agreement”) govern your use of the services provided by HBCMSP (“we,” “us,” or “our”), a managed service provider offering IT support, network management, cybersecurity, and related services (collectively, the “Services”). By engaging with our Services, you (“Client,” “you,” or “your”) agree to be bound by these terms. Please read them carefully.
1. Acceptance of Terms
By signing up for, accessing, or using our Services, you agree to these TOS and any additional terms outlined in a separate Service Agreement or contract between you and HBCMSP. If you do not agree to these terms, you may not use our Services.
2. Services
HBCMSP provides managed IT services, including but not limited to:
Network monitoring and management
Technical support and troubleshooting
Cybersecurity solutions
Data backup and recovery
Cloud services
IT Consulting
The specific scope of Services, pricing, and deliverables will be detailed in a separate Service Agreement or Statement of Work (SOW) executed between you and HBCMSP.
3. Client Responsibilities
To ensure the effective delivery of Services, you agree to:
Provide accurate and complete information necessary for HBCMSP to perform the Services.
Maintain the security of your systems, accounts, and passwords.
Promptly notify us of any issues or disruptions related to the Services.
Comply with all applicable laws and regulations in your use of the Services.
4. Fees and Payment
Pricing: Fees for Services will be outlined in your Service Agreement or SOW. All fees are non-refundable unless otherwise stated.
Payment Terms: Invoices are due within 30 days of receipt unless otherwise agreed. Late payments may incur a fee of 1.5% per month on overdue amounts.
Changes: We reserve the right to adjust pricing with 30 days’ written notice.
5. Term and Termination
Term: This Agreement begins on the date you first use our Services and continues until terminated as outlined herein or in your Service Agreement.
Termination by Client: You may terminate the Services by providing 30 days’ written notice, subject to any minimum term commitments in your Service Agreement.
Termination by HBCMSP: We may suspend or terminate Services if you breach this Agreement, fail to pay fees, or misuse the Services, with notice provided where feasible.
Effect of Termination: Upon termination, you must pay all outstanding fees, and access to Services will cease.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the provision of Services, except as required by law or with prior written consent.
7. Intellectual Property
HBCMSP retains ownership of all intellectual property related to the Services, including software, tools, and methodologies. You are granted a non-exclusive, non-transferable license to use such materials solely for the purpose of receiving the Services.
8. Limitation of Liability
To the fullest extent permitted by law, HBCMSP will not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our Services, including but not limited to loss of data, profits, or business interruption.
Our total liability under this Agreement shall not exceed the fees paid by you for the Services in the preceding 12 months.
9. Warranties and Disclaimers
Warranty: HBCMSP warrants that Services will be performed in a professional manner consistent with industry standards.
Disclaimer: Except as expressly stated, Services are provided “as is.” We do not guarantee uninterrupted, error-free operation or that all issues can be resolved.
10. Indemnification
You agree to indemnify and hold HBCMSP harmless from any claims, damages, or losses arising from your misuse of the Services or violation of this Agreement.
11. Force Majeure
HBCMSP will not be liable for delays or failures in performance due to events beyond our reasonable control, including natural disasters, cyberattacks, or government actions.
12. Governing Law
This Agreement shall be governed by the laws of Orange County, in the State of California, without regard to conflict of law principles.
13. Amendments
We may update these TOS from time to time. You will be notified of material changes, and continued use of the Services constitutes acceptance of the revised terms.
